Terms of Service
These Terms of Service (hereinafter referred to as "the Terms") set forth the conditions for the use of Kenkyu.ai (hereinafter referred to as "the Service"). Users of the Service must fully understand and agree to the Terms before using the Service.
Article 1: Definitions
- The Service
A service providing functionalities for AI-powered research. The Service includes a free plan and a paid plan with a monthly subscription fee. - Management Dashboard
A dashboard provided to users of the Service, where AI-powered research can be conducted. Users must accurately register their own information through the dashboard. - User
An individual who agrees to the Terms and applies to use the Service in accordance with the procedures set by the Service.
Article 2: Eligibility for Use
We may refuse to approve a user’s application or suspend the use of the Service if the user:
- Registers false or incorrect information in the application or website details.
- Has violated or is deemed likely to violate the Terms.
- Is a minor, an adult ward, or a person under curatorship or assistance.
- Is otherwise deemed inappropriate for use by the Service.
Article 3: ID and Password
- Users must set and manage their Management Dashboard ID and password at their own responsibility.
- The Service is not liable for any damages incurred by the user or third parties due to ID or password leaks, or the unauthorized use of a weak password.
Article 4: Cookies and Access Information
- Users agree that the Service may use cookies and access information (such as domain, IP address, browser details, access date and time, viewed pages, etc.) for the following purposes:
- Operation of the Service.
- Analysis of user access information to ensure stable operation and improvement of the Service.
Article 5: Fees for Paid Plans
- Users agree to the conditions and monthly fees when using the paid plans as described within the Service.
- The start date and cancellation period are as follows:
- The start date of a paid plan is the date specified by the user at the time of contract.
- If a user cancels a paid plan, the user may continue using the paid features until the end of the current billing cycle, after which the cancellation takes effect.
- Payments for the paid plan are processed via credit card (using Stripe's credit card payment service).
- The subscription fee is charged automatically on the same day each month, based on the initial billing date.
- If a payment fails, the user's access may be suspended to paid features and the Service itself. The Service shall not be responsible for any disadvantage or damages suffered by the user as a result.
- The monthly subscription fee applies regardless of whether the Management Dashboard is used. Fees paid after the start of the Service are non-refundable for any reason.
Article 6: Suspension and Termination of the Service
- Part or all of the Service may be suspended without prior notice in the following cases:
- Due to force majeure such as earthquakes, lightning strikes, fires, power outages, or other natural disasters.
- In the event of a system failure or network outage.
- When the provision of the Service becomes impossible due to laws or circumstances beyond the Service’s control.
- When maintenance is required, users will be notified in advance whenever possible before suspending part or all of the Service.
- Efforts will be made to continue providing the Service, but if continuation is deemed difficult, the Service may be terminated with at least three months’ notice to users.
- The Service is not liable for any losses, including lost profits, resulting from the suspension or termination of the Service.
Article 7: Prohibited Activities
- Users are prohibited from the following activities:
- Violating laws or public order and morals.
- Infringing on the rights, interests, reputation, or credibility of third parties.
- Engaging in criminal acts or activities that promote or support criminal behavior.
- Interfering with the Service’s servers or network.
- Impersonating others or intentionally spreading false information.
- Disclosing personally identifiable information to the Service.
- Reverse engineering, modifying, or tampering with the Service.
- Any other activities deemed inappropriate by the Service.
- Users (including their executives and employees) may only use the Service for AI-powered research. Users are prohibited from using the Service (including its data and know-how) for developing similar services. Additionally, during the Service usage period and for six months after termination, users must not develop or engage in competing services.
- If a user violates these prohibitions, the Service may immediately be suspended and necessary measures taken, including legal action. The Service is not responsible for any damages incurred by the user as a result.
Article 8: Warranties
If any disputes arise between a user and a third party in connection with the use of the Service, the user must resolve them at their own responsibility and expense, except in cases of willful misconduct or gross negligence by the Service.
Article 9: Outsourcing
Parts of the Service may be outsourced to selected third parties while ensuring proper oversight of such subcontractors.
Article 10: Confidentiality
Users must not disclose or use any confidential business or technical information obtained through the Service for any purpose other than Service usage, unless prior written consent is obtained.
Article 11: Disclaimers and No Guarantees
- The Service is not guaranteed to be free from defects, bugs, malfunctions, or viruses.
- The accuracy, reliability, completeness, legality, effectiveness, or suitability of any information provided through the Service is not guaranteed.
- The Service is not responsible for any damages incurred by the user due to the use or inability to use the Service, except in cases of willful misconduct or gross negligence.
- The Service's liability, if any, is limited to ordinary damages and does not include lost profits or special damages, regardless of foreseeability.
Article 12: Intellectual Property Rights
All intellectual property rights related to the Service belong to the Service. Users are not granted any rights beyond the scope necessary for using the Service.
Article 13: Prohibition of Assignment of Rights and Obligations
Users may not transfer or pledge any rights or obligations related to the Service to any third party.
Article 14: Exclusion of Anti-Social Forces
Users and their representatives must not be members of organized crime groups or have any relationship with such entities. If a user is found to have ties to such groups, the Service may be terminated immediately without prior notice.
Article 15: Changes to The Terms
The Terms may be modified at our discretion without prior notice. Any changes will take effect upon being posted on the Service’s website or notified to users. Continued use of the Service after such changes constitutes agreement to the revised Terms.
Article 16: Governing Law and Jurisdiction
The Terms shall be governed by and construed in accordance with Japanese law. Any disputes shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
Article 17: Language
The Terms are originally written in Japanese. Any translations are for reference only and have no legal effect. In the event of any discrepancies, the Japanese version shall prevail.
